By accessing or using Platon ("Service"), operated by Tofulab Inc ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. We reserve the right to modify these terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Platon provides an AI-powered advertising management platform that helps users manage, analyze, and optimize their digital advertising campaigns. Our services include:

  • AI-assisted campaign management across advertising platforms (Google Ads, Meta, TikTok, Amazon)
  • Performance analytics and reporting
  • Automated lead management and email communications
  • Integration with Google Workspace (Docs, Sheets, Gmail, Drive)
  • AI-generated marketing content and recommendations

3. User Accounts

To use our Service, you must:

  • Create an account with accurate and complete information
  • Be at least 18 years old or have legal authority to enter into this agreement
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

4. Third-Party Platform Connections

Our Service integrates with third-party platforms including Google, Meta, TikTok, and Amazon. By connecting these accounts:

  • You authorize us to access and manage your advertising accounts and related services as described in our Privacy Policy
  • You confirm you have the authority to grant such access
  • You understand that our Service depends on the availability and functionality of these third-party platforms
  • You agree to comply with the terms of service of each connected platform

You may revoke access to any connected platform at any time through your account settings or through the third-party platform's permission settings.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Violate the advertising policies of connected platforms
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer, decompile, or attempt to extract our source code
  • Use the Service in a way that could damage, disable, or impair our systems
  • Resell or redistribute the Service without our written consent

6. AI-Generated Content

Our Service uses artificial intelligence to generate content, recommendations, and automate actions. You acknowledge that:

  • AI-generated content may require review and editing before use
  • You are responsible for reviewing and approving any content or actions before they are published or executed
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated content
  • You retain responsibility for compliance with advertising platform policies and applicable laws

7. Payment and Billing

If you subscribe to a paid plan:

  • You agree to pay all fees associated with your selected plan
  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise specified
  • We may change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of your account

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Tofulab Inc and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create or upload to the Service. By using the Service, you grant us a limited license to use, store, and process your content solely to provide and improve the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOFULAB INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tofulab Inc and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

  • Violation of these Terms of Service
  • Violation of connected platform policies
  • Fraudulent or illegal activity
  • Non-payment of fees
  • At our sole discretion for any other reason

Upon termination, your right to use the Service will immediately cease. You may request deletion of your data in accordance with our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Hong Kong.
